#1DLDNSESSION Fan Art Submission Disclaimer

1. By submitting your “Fan Art” via Instagram and/or Twitter using the hashtag #1DLDNSESSION your Fan Art may potentially be displayed at events and/or shared with and/or used by Simco Limited and/or its licensees on One Direction’s social media sites including but not limited to Facebook, Twitter, Instagram, YouTube and One Direction’s official website (the “Websites”).

2. By submitting your Fan Art you warrant and represent that your Fan Art does not and shall not contain any material that: (i) impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with a person or entity, without such person or entity’s prior written consent; (ii) is false, deceptive, misleading, obscene, pornographic, violent, unlawful, blasphemous, defamatory, libellous, threatening, racially or ethnically offensive; (iii) encourages conduct that could be considered a criminal offense, could give rise to criminal or civil liability, or could violate any law, or that could otherwise be considered inappropriate; (iv) constitute a virus, spyware, or other computer code, file or program that is harmful or invasive or may, or is intended to damage or hijack the operation of, or to monitor the use of the Websites, or any hardware, software, or equipment; (v) constitutes any advertising, promotional material, or other form of solicitation; or (vi) constitutes any non-public information about a company.

3. You acknowledge that each piece of Fan Art provided by you to Simco Limited may be protected by copyrights, trademarks, service marks, patents or other intellectual property (“IP”) rights and laws. You must not upload, display, send, transmit or otherwise make available any Fan Art in which you do not have all appropriate rights to do so. Unauthorized copying, distribution, modification, display, public performance or other unauthorized use of copyrighted works by you may constitute an infringement of the copyright holders' rights and may result in civil litigation and criminal prosecution. You are solely responsible for the content of any material posted, and any consequences of the further publication of such by Simco Limited. You warrant and represent that you are the owner and originator of the content in the Fan Art. Simco Limited shall have no liability whatsoever and howsoever arising for your Fan Art or your material submitted. You hereby hold Simco Limited (and its licensees, affiliates and assigns) harmless from and against any third party claim arising from your Fan Art and any material posted by you. You waive any right to privacy. You waive any right including “moral right” to inspect or approve uses of your information provided or to be compensated for any such uses.

4. You acknowledge and agree that all Fan Art must be original and all your own work and not infringing the work of any others, and that Fan Art must not contain profanity or images in poor taste, or any third party IP (such as lyrics, song titles, brand images, cartoons or logos) or personally identifiable information (such as addresses, telephone numbers, schools or your hometown).

5. By submitting the Fan Art, you hereby grant to Simco Limited (and its licensees, affiliates and assigns) a non- exclusive worldwide, royalty free, perpetual and irrevocable licence without further payment to use, edit, copy, transmit, display, exploit, manipulate, distribute, reproduce, make, sell or offer to sell; exercise all copyright, trademark, publicity and other proprietary rights (and to sub-licence such rights) to your Fan Art, your likeness and any information you provided or any part thereof, in any and all media (by any and all means now known or developed in the future), including without limitation, use on commercial audio or video products and all forms of advertising and merchandise. You also grant an exclusive worldwide royalty-free licence without further payment to Simco Limited and other users to use, download and reproduce such content to the extent it may be published on the Websites.

6. For the avoidance of doubt you understand that on an non-exclusive basis your Fan Art, your likeness, your social media ‘handle’ (being your social media unique account name) and any information you provide may be used on a royalty-free basis without payment, worldwide and in perpetuity in services and products of One Direction or any members of One Direction including without limitation videos, publicity, advertising, websites and/or on forthcoming releases of an album or single.

7. Simco Limited may at its sole discretion opt not to use, without notice or reason, any Fan Art that Simco Limited believes is inappropriate or in breach of these rules or if it simply does not wish to use them. If Simco Limited (at its sole discretion) believes your Fan Art breaches the terms herein Simco Limited shall be entitled to request that you take down your Fan Art and you hereby agree to immediately so remove the Fan Art upon such request.

8. So far as is permitted by law, Simco Limited assumes no responsibility for damages, losses, expenses or injuries that result from your Fan Art upload, provided that nothing shall exclude or limit Simco Limited’s and its associated companies’ and agents’ liability for death or personal injury caused by its negligence or fraud.

9. Simco Limited is the promoter and this initiative is in no way sponsored, endorsed, administered or associated with YouTube, Facebook, Instagram and/or Twitter.
